1. Introduction and Agreement

These Terms of Service ("Terms") form a legally binding agreement between you ("User", "you", "your") and Pullup Matchmaker Ltd ("Pullup Matchmaker", "we", "us", "our"), governing your access to and use of the Pullup Matchmaker platform, website, and mobile application (collectively, the "Platform").

By registering an account or using the Platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must stop using the Platform immediately.

We may update these Terms from time to time. We will notify you of material changes via email or a notice on the Platform. Continued use after such notification constitutes acceptance of the updated Terms.

2. Definitions

In these Terms, the following words have the following meanings:

"Platform" means the Pullup Matchmaker website, mobile application, and any associated digital services operated by Pullup Matchmaker Ltd.

"User" means any person who accesses or uses the Platform, whether as a Player, Moderator, or visitor.

"Player" means a registered User who pays to participate in a Session listed on the Platform.

"Moderator" means a self-employed independent contractor who lists, organises and hosts Sessions via the Platform. Moderators are not employees, workers, agents, or partners of Pullup Matchmaker.

"Session" means any organised sports game, event, or physical activity listed on the Platform by an Moderator.

"Content" means any text, graphics, images, audio, video, data, software, or other material appearing on or submitted to the Platform.

"Booking Fee" means the fee paid by a Player to secure their place in a Session.

3. Nature of the Platform

Pullup Matchmaker operates solely as a technology platform that facilitates connections between Players and Moderators. We are a marketplace, not a sports club, event moderator, or sports facility operator.

Moderators are self-employed independent contractors. They set their own sessions, manage their own games, and are solely responsible for how those sessions are run. Pullup Matchmaker does not employ, supervise, direct, or control Moderators in the performance of their work. The relationship between Pullup Matchmaker and an Moderator is not one of employer and employee, principal and agent, or partnership.

The contract for participation in any Session is formed directly between the Player and the Moderator. Pullup Matchmaker is not a party to that contract.

Moderators are required to complete Pullup Matchmaker's onboarding verification process before listing any Session. This includes facial identity verification. However, these checks are carried out to a reasonable standard and Pullup Matchmaker does not guarantee, warrant, or represent that any Moderator is exactly who they say they are, is fit to organise sporting sessions, or is suitable to be around other Users. Completion of checks does not constitute an endorsement of any Moderator by Pullup Matchmaker. Users are responsible for exercising their own judgment before attending any Session.

All Sessions listed on the Platform follow a standard format of 5-versus-5 (5v5) games lasting 50 minutes. This is the only Session format currently offered on the Platform. Pullup Matchmaker reserves the right to introduce additional formats in future, which will be communicated to Users in advance.

This distinction is consistent with the principles established in UK employment and consumer law, including the Employment Rights Act 1996 and the Consumer Rights Act 2015, as they apply to platform-based marketplace services.

4. Age Restrictions - 16+ Only

THE PLATFORM IS STRICTLY FOR USERS AGED 16 AND OVER. PERSONS UNDER THE AGE OF 16 ARE ABSOLUTELY PROHIBITED FROM REGISTERING, ACCESSING, OR USING THE PLATFORM IN ANY WAY WHATSOEVER.

By creating an account, you confirm that you are at least 16 years of age. If we discover or reasonably suspect that a User is under 16, we will immediately terminate their account, cancel any bookings, and permanently delete all personal data associated with that account without notice.

4.1 Users Aged 16 and 17

Users aged 16 and 17 are permitted to use the Platform but are subject to enhanced protections in line with our obligations under the ICO's Age Appropriate Design Code (the "Children's Code"), issued under Section 123 of the Data Protection Act 2018.

For Users aged 16 and 17, we will:

Apply the highest available privacy settings to their accounts by default.
Collect only the minimum personal data strictly necessary to provide the service.
Not use their data for profiling, targeted advertising, or marketing without explicit, informed consent.
Not use nudge techniques or design features that encourage them to share more data than necessary.
Not share their personal data with third parties except where strictly required to provide the service.

We reserve the right to request proof of age at any time. Users who provide false information about their age do so in breach of these Terms and accept full responsibility for any consequences.

5. Registration and Account Security

To use the full features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

You are solely responsible for maintaining the security and confidentiality of your login credentials. You must not share your account with any other person or allow anyone else to access your account.

You must notify us immediately at admin@pullupmatchmaker.com if you become aware of any unauthorised access to your account or any security breach. Pullup Matchmaker will not be liable for any loss arising from your failure to keep your account credentials secure.

We reserve the right to suspend or terminate any account that we believe has been compromised, is being misused, or is held by a User who has breached these Terms.

6. Bookings and Payments

Players pay a Booking Fee to secure their place in a Session. Payment is processed through the Platform at the time of booking. By completing a booking, you enter into a contract with the Moderator for participation in that Session.

Moderators receive a fixed fee of £15 per Session organised through the Platform. This fee is paid by Pullup Matchmaker to the Moderator following the successful completion of a Session, subject to any deductions or adjustments as agreed in the Moderator's separate agreement with Pullup Matchmaker.

All prices displayed on the Platform are inclusive of VAT where applicable, unless otherwise stated. Pullup Matchmaker reserves the right to amend its pricing structure at any time, with reasonable notice to Users.

Payments are processed securely. Pullup Matchmaker uses industry-standard encryption (SSL/TLS) to protect payment data in transit. By making a payment, you confirm that you are the authorised holder of the payment method used.

In the event that a payment is disputed with your bank or card provider (a "chargeback"), Pullup Matchmaker reserves the right to investigate the matter, temporarily restrict your account, and take reasonable steps to recover any outstanding amount in accordance with applicable law.

7. Cancellations and Refunds

Cancellation policies for individual Sessions depend on the point of booking. If a player pays for their spot in a lobby before a sports hall is booked and proceeds to leave the lobby, cancellation is allowed and no money is charged. However, once a sports hall has been booked, players can no longer cancel their booking. However, they can request to substitute themselves with another player. If successful a refund of 80% the booking fee will be provided. By completing a booking, you accept the relevant cancellation policy.

Your statutory rights under the Consumer Rights Act 2015 are not affected by these Terms. Where you have a right to a refund under applicable law, we will honour it.

Please note that once you have attended and participated in a Session, no refund will be available in respect of that Session.

If a Session is cancelled by an Moderator, we will use reasonable endeavours to notify you promptly and process a full refund of your Booking Fee. Pullup Matchmaker is not liable for any additional costs you may incur as a result of a Session cancellation by a Moderator.

Pullup Matchmaker reserves the right to cancel any booking or Session where it reasonably believes these Terms have been breached or where it is necessary to do so for safety or legal reasons.

8. User Conduct

By using the Platform, all Users agree to behave responsibly, respectfully, and in accordance with all applicable laws. In particular, you must not:

Use the Platform if you are under 16 years of age.
Provide false, misleading, or inaccurate information at any time.
Use offensive, abusive, threatening, discriminatory, or harassing language towards any other User, Moderator, or Pullup Matchmaker staff.
Post or share content that is unlawful, defamatory, sexist, racist, ageist, homophobic, or otherwise objectionable.
Impersonate any other person, including employees or representatives of Pullup Matchmaker.
Engage in any commercial advertising or solicitation on the Platform without prior written consent.
Upload or transmit any viruses, malware, or other harmful software or code.
Attempt to gain unauthorised access to any part of the Platform or another User's account.
Use the Platform for any unlawful purpose or in a manner that could bring Pullup Matchmaker into disrepute.
Behave in a manner at any Session that endangers the safety of yourself or others.

Pullup Matchmaker reserves the right to monitor the Platform and to remove any Content that, in our reasonable opinion, breaches these rules or is otherwise inappropriate. We are not obliged to exercise this right.

9. Physical Activity, Safety, and Assumption of Risk

Sports and physical activity carry inherent risks of injury. By participating in any Session listed on the Platform, you acknowledge and accept that physical activity involves risks which cannot be entirely eliminated, including the risk of minor and serious injury.

Pullup Matchmaker strongly recommends that all Players:

Ensure they are in suitable physical health before participating in any sporting activity.
Consult a medical professional if they have any pre-existing health conditions or concerns.
Warm up adequately before participating in any Session.
Wear appropriate clothing and footwear for the activity.
Report any unsafe venue conditions to the Moderator before the Session begins.

Pullup Matchmaker does not attend, supervise, or manage Sessions. We are not responsible for the conduct of Moderators or Players at Sessions, the condition of venues, or any accidents or injuries that occur during Sessions.

Nothing in these Terms removes or limits any rights you may have under the Consumer Rights Act 2015 or any other applicable law.

10. Limitation of Liability

To the maximum extent permitted by law, Pullup Matchmaker accepts no liability for any direct, indirect, incidental, special, or consequential loss or damage arising from your use of the Platform, your attendance at any Session, or the acts or omissions of any Moderator or Player.

In particular, and without limitation, Pullup Matchmaker is not liable for:

Any injury, illness, or death occurring at or in connection with a Session.
Any loss or damage to personal property at a Session.
The cancellation, postponement, or poor quality of any Session.
The conduct, actions, or omissions of any Moderator or Player.
The condition, safety, or suitability of any venue used for a Session.
Any technical failure, interruption, or unavailability of the Platform.

Where we are liable to you, our total liability in any circumstances shall not exceed the greater of (a) the total Booking Fees you have paid to us in the twelve (12) months immediately prior to the event giving rise to the claim, or (b) £100.

NOTHING IN THESE TERMS EXCLUDES OR RESTRICTS PULLUP MATCHMAKER'S LIABILITY FOR DEATH OR PERSONAL INJURY RESULTING FROM ANY NEGLIGENCE OR FRAUD ON THE PART OF PULLUP MATCHMAKER. This clause is included in compliance with the Unfair Contract Terms Act 1977 and the Consumer Rights Act 2015, and reflects a mandatory requirement of English law that cannot be excluded by contract.

In the event that any provision of these Terms is found to be unlawful, invalid, or unenforceable by a court of competent jurisdiction, that provision shall be severed from the remainder of these Terms, which shall continue in full force and effect. This is consistent with Section 31 of the Consumer Rights Act 2015.

11. Indemnity

You agree to indemnify, defend, and hold harmless Pullup Matchmaker Ltd, its officers, directors, employees, contractors, and partners from and against any claims, losses, damages, costs, and expenses (including reasonable legal fees) arising from:

Your breach of these Terms.
Your use of the Platform.
Your participation in any Session as a Player or Moderator.
Your violation of any applicable law or the rights of any third party.
Any false or inaccurate information you have provided to Pullup Matchmaker.

12. Intellectual Property

All Content on the Platform created by or belonging to Pullup Matchmaker, including but not limited to text, graphics, logos, icons, images, software, and underlying code, is the exclusive property of Pullup Matchmaker Ltd and is protected by the Copyright, Designs and Patents Act 1988 and applicable international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform solely for its intended personal, non-commercial purpose. You must not:

Reproduce, copy, distribute, or commercially exploit any Content from the Platform without our prior written consent.
Systematically extract or compile Content to create any database, directory, or collection.
Use any Content for commercial purposes.

Fair use of Content may be permitted under Chapter III of the Copyright, Designs and Patents Act 1988 where the applicable exceptions apply.

By submitting any Content to the Platform (such as profile information, reviews, or photos), you grant Pullup Matchmaker a non-exclusive, royalty-free, perpetual licence to use, display, and modify that Content as necessary for the operation of the Platform. You warrant that you have the right to grant this licence and that your Content does not infringe the rights of any third party.

13. Data Protection and Privacy

Pullup Matchmaker is a data controller registered with the Information Commissioner's Office (ICO) in accordance with the Data Protection Act 2018 and UK GDPR (as retained in UK law by the European Union (Withdrawal) Act 2018).

We collect and process personal data including your name, email address, date of birth, and where provided, physical characteristics such as sex, height and physical profile. We do so only where we have a lawful basis for processing under Article 6 of UK GDPR, and in accordance with the seven data protection principles set out in Article 5 of UK GDPR, including the principles of data minimisation, purpose limitation, and storage limitation.

For Users aged 16 and 17, we apply the heightened data protection standards required by the ICO's Age Appropriate Design Code (Children's Code).

Your full rights regarding your personal data including the right to access, rectification, erasure, restriction, portability, and to object to processing are set out in our Privacy Policy, which forms part of these Terms by reference.

By using the Platform, you consent to the use of cookies as described in our Cookie Policy. You may withdraw cookie consent at any time through your browser settings or our cookie preference centre.

If you have any concerns about how we handle your data, you have the right to lodge a complaint with the ICO at ico.org.uk or by calling 0303 123 1113.

14. Third Party Links and Services

The Platform may contain links to third party websites or services. These are provided for your convenience only. Pullup Matchmaker has no control over third party sites and accepts no responsibility for their content, privacy practices, or availability. Accessing any third party site is entirely at your own risk.

The website is hosted on Framer. Framer is a third party service provider and their own terms and privacy policy apply to the hosting infrastructure. Pullup Matchmaker is not responsible for Framer's technical performance beyond what is within our reasonable control.

15. Platform Availability and Modifications

The Platform is provided on an "as is" and "as available" basis. We make no warranty that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components. We recommend that all Users maintain appropriate security software on their devices.

Pullup Matchmaker accepts no liability for any disruption or unavailability of the Platform resulting from circumstances beyond our reasonable control, including but not limited to internet service provider failures, server outages, power failures, natural disasters, or acts of government.

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice, though we will endeavour to give reasonable notice of significant changes.

16. Termination and Suspension

We reserve the right to suspend or permanently terminate your access to the Platform at any time if we reasonably believe you have breached these Terms, engaged in fraudulent or unlawful activity, or behaved in a way that causes harm to other Users, Moderators, or Pullup Matchmaker.

You may close your account at any time by contacting us at admin@pullupmatchmaker.com or deleting it through the app. Upon account closure, we will delete or anonymise your personal data in accordance with our data retention policy, except where retention is required by law.

Any User whose account has been terminated must not attempt to re-register under a different name or using another person's credentials.

17. Force Majeure

Pullup Matchmaker shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of war, pandemics, government action, strikes, power failures, or failures of telecommunications infrastructure.

18. No Waiver

If Pullup Matchmaker fails to enforce any right or remedy under these Terms on any occasion, this shall not be construed as a waiver of that right or remedy on any future occasion. All rights and remedies remain fully reserved unless expressly waived in writing.

19. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Pullup Matchmaker in relation to your use of the Platform and supersede all prior agreements, representations, or understandings between us, whether written or oral.

20. Communications and Notices

By registering on the Platform, you consent to receiving communications from us electronically, including by email and in-app notifications. You agree that electronic communications satisfy any legal requirement that communications be in writing.

We may send you updates about your account, bookings, and changes to the Platform. You can opt out of promotional communications at any time by clicking the unsubscribe link in any marketing email or by managing your notification preferences in your account settings.

Formal notices to Pullup Matchmaker should be sent by email to admin@pullupmatchmaker.com or by post to Shimogamo, llanreath, beach road, Pembroke Dock, SA72 6TP. Notices sent by first class post are deemed received three working days after posting. Emails are deemed received on the day of sending, provided delivery is not returned as undelivered.

21. Governing Law and Jurisdiction

These Terms and the relationship between you and Pullup Matchmaker shall be governed by and construed in accordance with the law of England and Wales.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, save that nothing in this clause prevents a consumer User from bringing proceedings in the courts of the jurisdiction in which they are domiciled, where they have a statutory right to do so under applicable consumer protection law.

If you are a consumer and have a dispute you wish to resolve without going to court, you may contact the Citizens Advice consumer helpline or use an alternative dispute resolution scheme. We will consider requests for alternative dispute resolution in good faith.
